Terms of Service

These Terms of Service ("Terms") govern your access to and use of Seonio at seonio.com, including the website, web application, accounts, reports, API, API keys, API documentation, software, content, educational materials, and tools (collectively, the "Service").

By creating an account, subscribing to a paid plan, purchasing API balance, generating reports, using an API key, or otherwise using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

If you use the Service on behalf of a company or other legal entity, you represent that you are authorized to bind that entity to these Terms. In that case, "you" refers to that entity.

2. What Seonio provides

Seonio provides SEO software, SEO data tools, API access, and educational content. Depending on plan, account status, product availability, and balance, the Service may include:

  • keyword research and keyword metrics
  • website traffic and ranking analysis
  • URL and website authority or backlink-related metrics
  • SERP scraping and SERP analysis
  • URL scraping and web-to-markdown tools
  • YouTube transcript retrieval where available
  • keyword clustering
  • SEO API endpoints for developers
  • an SEO wiki and other SEO educational materials
  • related dashboards, reports, documentation, and account tools

The Service is intended to help users research, analyze, organize, and integrate SEO-related information. The Service and all outputs are provided for informational and analytical purposes only and do not constitute legal, financial, tax, marketing, compliance, or other professional advice.

3. Eligibility and accounts

3.1 Eligibility

You must have legal capacity to enter into a binding contract to use the Service. If you are below the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or legal guardian and only where permitted by applicable law.

3.2 Registration

Anyone may register for an account. You agree to provide accurate, current, and complete information and to keep your account information up to date.

3.3 Account security

You are responsible for keeping your login credentials, API keys, and account access confidential. You are responsible for all activities under your account, including API requests made using your API keys. You must notify us promptly at [email protected] if you suspect unauthorized access, leaked API keys, or misuse.

3.4 One free account per user

You must not create multiple free accounts to circumvent plan limits, credit limits, free API balance, promotional limits, rate limits, or other usage restrictions. We may suspend or terminate accounts associated with such behavior.

4. Web app credits and reports

4.1 Credits

Seonio uses a credit system for web app tools. Each eligible plan includes a pool of credits that refreshes monthly, unless the Service expressly states a different refresh period.

4.2 Credit consumption

Each web app tool run costs a specified number of credits. The applicable credit cost is shown in the Service before you start the run or in the relevant product/pricing information.

4.3 Flexible use

Credits may be used flexibly across eligible web app tools. Unless the Service expressly states otherwise, there are no separate per-tool daily caps; your available monthly credit pool determines your usage.

4.4 Unlock window for reports

Once a report is generated, it remains unlocked for the period shown in the Service, currently 7 or 30 days depending on the tool. During that period, you may revisit the same report without spending an additional credit. After the unlock period ends, access or regeneration may require a new credit.

4.5 No rollover

Unused subscription credits do not roll over. Credits refresh at the start of each monthly billing cycle or plan cycle, as applicable.

4.6 Nature of credits

Credits are a usage unit within the web app only. Credits:

  • are not money
  • have no cash value
  • are non-transferable
  • are not redeemable for cash except where required by law
  • are separate from API balance

4.7 Running out of credits

If you run out of credits, certain web app tools or features may become unavailable until your next refresh or until you upgrade to a higher plan, if available.

4.8 Changes to credits

We may change credit allocations, credit pricing per tool, report unlock periods, or included tools prospectively. Material adverse changes to paid plans will not retroactively reduce already-paid entitlements during the current billing period, except where necessary for legal compliance, security, abuse prevention, or changes in third-party dependencies outside our reasonable control.

5. Free plan and paid subscription plans

5.1 Free plan

We may offer a free plan. At the time of writing, Seonio offers a free plan with 10 monthly credits and no credit card required.

Free plans, trial-like access, promotional credits, included API trial balance, beta features, and other free access may be changed, limited, or discontinued prospectively at any time.

5.2 Paid subscription plans

We may offer one or more paid subscription plans. Current plan details, credit allocations, pricing, billing periods, annual discounts, and included features are shown on the pricing page or in the checkout flow.

5.3 All-tools access

Where a plan is described as including all tools, this means access to the generally available web app tools for that plan, subject to credits, account status, technical availability, product restrictions, and these Terms. API usage may require separate API balance even if your subscription plan includes web app credits.

6. SEO API and API balance

6.1 API access

Seonio may provide API endpoints that allow developers to query SEO-related data such as keyword metrics, SERP data, website traffic, website ranking data, URL metrics, website authority metrics, and related data.

API access requires an account, an API key, and sufficient API balance unless the Service states otherwise. We may add, remove, rename, change, or discontinue API endpoints, request/response fields, documentation, pricing, or access requirements prospectively.

6.2 API pricing

API usage is priced separately from web app credits. At the time of writing, API endpoints have fixed prices in USD that are charged directly against your API balance. Current endpoint prices are shown on the API product pages, API documentation, pricing page, dashboard, or checkout flow.

You are responsible for reviewing applicable API prices before using the API. Continued use of an API endpoint after pricing information is updated constitutes acceptance of the updated pricing for future requests.

6.3 API balance

API balance is a prepaid monetary balance used for API requests. New accounts may receive a small free API balance as a promotion; at the time of writing, new accounts start with $1 free API balance.

Unless otherwise required by mandatory law or expressly stated in a separate written agreement:

  • API balance does not expire
  • API balance is used only for API usage and is separate from web app credits
  • API balance is not a bank account, deposit account, or stored-value payment instrument
  • API balance is non-transferable
  • API balance is not redeemable for cash
  • promotional or free API balance has no cash value and may be limited, changed, or withdrawn prospectively

6.4 API top-ups and bonuses

We may offer one-time API balance top-ups, volume packages, promotional bonuses, or other prepaid API balance options. The amount to pay, spendable balance, bonus amount, and any applicable restrictions will be shown at checkout or in the Service.

If a package includes bonus balance, the bonus is promotional unless stated otherwise. We may apply paid balance and bonus balance in the order determined by the Service.

6.5 Insufficient balance and no automatic overages

If your API balance is insufficient, paid API requests may fail or be rejected until you add more balance. Unless we expressly offer and you enable a different arrangement, Seonio does not intentionally allow API usage to create unexpected overage charges beyond your available API balance.

6.6 API keys and security

You must keep API keys confidential and secure. You must not publish API keys in public repositories, client-side code, websites, mobile apps, logs, screenshots, support tickets visible to third parties, or any other publicly accessible location.

We may revoke, rotate, suspend, or limit API keys where reasonably necessary for security, abuse prevention, suspected compromise, excessive errors, rate-limit violations, non-payment, legal compliance, or protection of the Service.

6.7 API rate limits and fair use

We may enforce API rate limits and other fair-use controls. At the time of writing, the API product page states a global rate limit of 10 requests per second per API key across endpoints. We may change rate limits prospectively for operational, security, abuse-prevention, or product reasons.

If you exceed rate limits, requests may be throttled or rejected, including with HTTP status code 429 or a similar error.

6.8 API errors and changes

API responses may include error codes for missing or invalid keys, insufficient balance, invalid request bodies, rate limits, source unavailability, third-party failures, or other reasons. You are responsible for implementing appropriate retry logic, backoff, caching, monitoring, validation, error handling, and safeguards in your own systems.

We do not guarantee that API responses will be uninterrupted, backward-compatible, complete, error-free, or available at all times.

6.9 Caching and repeat lookups

SEO data changes over time. You may cache successful API responses for your internal business purposes or to operate your product, unless the Service, documentation, or applicable law states otherwise. You are responsible for ensuring that cached data is used lawfully, refreshed appropriately, and not presented as real-time or guaranteed accurate where it may be outdated.

6.10 API integrations and responsibility

You are solely responsible for any product, website, script, workflow, application, or integration that you build using the API, including its security, compliance, user notices, data handling, caching, logging, and downstream use of Seonio outputs.

7. Billing, payments, upgrades, downgrades, and cancellation

7.1 Billing

Paid subscriptions are billed in advance on a recurring basis for the billing period shown at checkout. API balance top-ups are billed at the time of purchase unless stated otherwise.

7.2 Automatic renewal

Unless cancelled, your paid subscription renews automatically at the end of each billing period. API balance top-ups are one-time purchases unless you enable an automatic top-up, recurring API package, or similar feature where available.

7.3 Payment processor

Payments are processed by Stripe or another designated payment provider. By purchasing a paid subscription, API balance, or other paid feature, you authorize us and our payment processors to charge the applicable fees, taxes, and valid adjustments to your selected payment method.

7.4 Taxes and VAT

Prices, currency, and whether taxes are included or added will be shown at checkout.

Where applicable, VAT or other indirect taxes may be charged based on your location, status as a business or consumer, and applicable tax law.

If you are a business customer in the EU and provide a valid VAT ID, the reverse charge mechanism may apply where legally available.

You are responsible for any taxes that apply to your purchase, except taxes based on our net income.

7.5 Failed payments

If a payment fails, is reversed, or is subject to a chargeback, we may suspend or limit access to paid features, subscription credits, API balance, API keys, or the account until the issue is resolved.

7.6 Upgrades

You may upgrade your subscription plan at any time through your account settings unless the Service states otherwise. Upgrades generally take effect immediately and may be prorated.

7.7 Downgrades

You may downgrade your subscription plan at any time through your account settings unless the Service states otherwise. Downgrades generally take effect at the end of the current billing period.

7.8 Cancellation

You may cancel your paid subscription at any time through your account settings. Cancellation stops future renewals. Unless mandatory law requires otherwise, cancellation does not retroactively cancel charges already incurred for the current billing period or completed API balance purchases.

7.9 Effect of cancellation

If you cancel a paid subscription, you keep access to the paid subscription plan until the end of the current billing period. After that, your account may switch to the free plan if one is then available.

Cancellation of a subscription does not automatically delete your account and does not necessarily remove remaining API balance, unless required by law, required by these Terms, or caused by account termination for breach.

8. Commercial refund policy

This section describes our commercial refund policy and does not limit any mandatory statutory rights you may have as a consumer.

8.1 First purchase refund window

For first-time paid purchases, you may request a full refund within 7 days of the initial purchase.

8.2 Significant usage

This commercial refund policy does not apply where account activity shows significant usage beyond normal testing or evaluation. We will assess this in good faith based on actual use of the Service, including web app reports, credit consumption, API usage, API balance consumption, and other account activity.

8.3 API balance refunds

API balance purchases are generally non-refundable after API balance has been used, unless required by law or unless we expressly state otherwise. Where a refund is approved for an API balance purchase, we may deduct the value of API usage already consumed and any promotional bonus balance associated with the refunded purchase may be removed.

8.4 Later refunds

After the initial 7-day period, paid subscriptions, API balance purchases, and other paid features are generally non-refundable unless required by law or unless we expressly state otherwise.

8.5 How to request a refund

Refund requests should be sent to [email protected] and should include the account email address used for the purchase.

9. Consumer right of withdrawal (EU consumers — Widerrufsrecht)

If you are a consumer in the European Union, you have a statutory right to withdraw from a distance contract within 14 days without giving any reason.

9.1 Withdrawal period

The withdrawal period is 14 days from the day the contract is concluded, such as the day you subscribe or purchase API balance.

9.2 Exercise of the right

To exercise your right of withdrawal, you must inform us by an unequivocal statement, such as by email or letter, that you wish to withdraw. It is sufficient to send this communication before the withdrawal period expires.

You may use the Model Withdrawal Form at the end of these Terms, but this is not mandatory.

9.3 Effects of withdrawal

If you validly withdraw, we will reimburse payments received from you without undue delay and no later than 14 days after we receive your withdrawal notice, using the same payment method unless expressly agreed otherwise.

9.4 Immediate performance during the withdrawal period

If you request that we begin providing the Service before the 14-day withdrawal period ends, including by using paid features, spending credits, using API balance, or making API requests, you expressly request immediate performance.

If you then exercise your right of withdrawal, we may charge you an amount proportionate to the services already provided up to the time we receive your withdrawal notice, to the extent permitted by applicable law.

Where applicable law provides that the right of withdrawal expires after full performance following your express request and acknowledgment, that rule applies.

10. Nature of SEO data and no performance guarantees

SEO data is dynamic, estimated, and often dependent on third-party sources, public web data, search engines, website availability, platform restrictions, and changing algorithms.

You acknowledge that:

  • reports, estimates, API responses, traffic data, backlink data, rankings, keyword data, clustering results, transcripts, authority metrics, SERP data, and other outputs may be incomplete, delayed, approximate, unavailable, or inaccurate
  • we do not guarantee any ranking, traffic, indexing, backlink, business, advertising, revenue, or marketing result
  • the Service may rely on third-party sources that can change without notice
  • API fields, metrics, coverage, and response shapes may change over time
  • you are responsible for verifying outputs before relying on them for business, legal, compliance, publication, product, or customer-facing purposes

The SEO wiki and any educational content are provided for general informational purposes only.

11. User inputs and your responsibilities

You may submit keywords, domains, URLs, search queries, project data, API request bodies, and other inputs to the Service ("Inputs").

You represent and warrant that:

  • you have the right to submit the Inputs
  • your Inputs and your use of the Service do not violate any law, regulation, contract, intellectual property right, privacy right, publicity right, database right, or other third-party right
  • you will not use the Service to process, scrape, extract, monitor, enrich, profile, or publish data in a way that is unlawful in your jurisdiction or in the applicable jurisdiction of the target website, platform, content source, or data subject
  • you will provide any legally required notices, consents, lawful bases, and safeguards for your use of Inputs and outputs

You remain responsible for your Inputs and for your decisions, products, publications, integrations, and actions based on the outputs of the Service.

12. License to process inputs

As between you and us, you retain your rights in your Inputs.

You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, store, and use your Inputs solely to:

  • provide and operate the Service
  • authenticate, process, and respond to API requests
  • generate reports, responses, and outputs for you
  • maintain security, prevent abuse, enforce limits, and troubleshoot issues
  • provide support
  • comply with legal obligations
  • improve the Service using aggregated or de-identified information

We do not use your Inputs to train AI models or sell them to third parties.

This license ends when your Inputs are deleted from our systems, except to the extent retention is required for legal obligations, recordkeeping, backup, security, fraud prevention, abuse prevention, or dispute resolution.

13. Permitted use of reports, API responses, and outputs

Subject to these Terms, you may use reports, API responses, and outputs generated through your account for:

  • your internal business purposes
  • your own websites, products, applications, and projects
  • client work performed by you or your organization
  • integrations that use Seonio data as part of a broader product or workflow, provided that you comply with these Terms and applicable law

You may share reports and outputs with your employees, contractors, and clients in connection with legitimate work, provided that you remain responsible for compliance with these Terms.

You must not:

  • resell standalone access to Seonio
  • resell or sublicense API access, API keys, or your account
  • resell raw datasets, raw API responses, or raw outputs as a separate data product
  • use the Service or outputs to build a substantially similar competing service without our written permission
  • misrepresent Seonio outputs as official, guaranteed, real-time, or independently verified data
  • remove or obscure any usage restrictions, source notices, or attribution requirements that may be shown in the Service

14. Acceptable use

You must not, and must not allow others to:

  • use the Service in violation of any law or regulation
  • infringe or misappropriate intellectual property, privacy, publicity, database, trade secret, confidentiality, or other rights
  • use the Service to collect, scrape, store, publish, profile, or exploit data unlawfully
  • scrape personal data, confidential information, or protected content in a way that violates applicable law, including GDPR
  • use SERP scraping, URL scraping, transcript retrieval, API endpoints, or other tools in a way that violates applicable law, third-party rights, or binding contractual restrictions applicable to you
  • bypass authentication, rate limits, credits, API balance, usage controls, API pricing, or security measures
  • attempt unauthorized access to the Service, API, infrastructure, accounts, API keys, or data
  • introduce malware, malicious code, harmful content, or abusive traffic
  • interfere with, overload, disable, or disrupt the Service
  • reverse engineer, decompile, or attempt to extract source code except where mandatory law does not allow such restriction
  • use bots or automated means to access the Service itself other than through features, API endpoints, or interfaces we expressly provide
  • create multiple free accounts to circumvent usage limits, credits, trial balances, or promotional restrictions
  • share, sell, lease, expose, or publish API keys
  • perform excessive, abusive, or harmful API requests, including attempts to evade rate limits by rotating accounts or keys
  • spam, phish, impersonate others, or engage in fraudulent or deceptive activity

We may investigate violations and suspend, limit, or terminate accounts, subscriptions, API keys, credits, or API balance where reasonably necessary.

15. Third-party services and sources

The Service may interact with or depend on third-party services, websites, search engines, hosting providers, payment processors, data providers, public sources, or platform content, including Stripe and publicly accessible web pages or video platforms.

We are not responsible for:

  • third-party services or websites
  • changes in third-party APIs, site structures, access restrictions, rate limits, pricing, or platform policies
  • the availability, legality, accuracy, completeness, or timeliness of third-party data
  • losses caused by third-party downtime, removals, blocks, policy changes, source changes, anti-bot measures, or data-provider changes

Third-party names, marks, and brands remain the property of their respective owners. Unless expressly stated, Seonio is not affiliated with, endorsed by, or sponsored by those parties.

16. Intellectual property

The Service, including its software, design, user interface, branding, databases, documentation, API documentation, API design, dashboards, reports, and SEO wiki content, is owned by us and/or our licensors and is protected by intellectual property and unfair competition laws.

Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your valid subscription, available API balance, or permitted free use, solely in accordance with these Terms.

17. Availability, maintenance, and changes to the Service

We aim to keep the Service available, but we do not guarantee uninterrupted or error-free operation.

The Service may be unavailable from time to time due to:

  • maintenance
  • updates
  • security work
  • internet outages
  • third-party outages
  • source-site blocking or technical restrictions
  • API rate limiting or capacity management
  • payment processor issues
  • events outside our reasonable control

We may modify, replace, suspend, or discontinue features, tools, API endpoints, data fields, pricing models, limits, or products where reasonably necessary for business, technical, legal, commercial, operational, or security reasons.

If a material change adversely affects a paid subscription, we will provide reasonable prior notice where practicable. For API changes, we will aim to provide notice where practicable, but urgent changes may be required for security, third-party dependency, abuse-prevention, compliance, or operational reasons.

18. Suspension and termination

18.1 By you

You may stop using the Service at any time. You may cancel your subscription through your account settings.

18.2 By us for cause

We may suspend or terminate your access, account, subscription, API keys, credits, or API balance if:

  • you materially breach these Terms
  • you fail to pay fees when due
  • your payment is reversed, disputed, or subject to chargeback
  • your use creates security, legal, fraud, abuse, technical, or operational risks
  • your API key appears compromised or publicly exposed
  • you exceed or attempt to evade rate limits, pricing, or usage controls
  • we are required to do so by law, court order, or binding governmental request
  • your use may expose us, other users, or third parties to harm or liability

Where appropriate, we may first give you a reasonable opportunity to remedy the issue.

18.3 Discontinuation

We may discontinue the Service or end accounts for business reasons on reasonable notice. If we do so without cause during a prepaid paid subscription term, we will refund the unused pro-rata portion of prepaid subscription fees for the remaining paid period.

For unused paid API balance, we will handle any refund, continued access, or migration in accordance with applicable law and any notice we provide at the time of discontinuation. Promotional or free API balance is not refundable.

18.4 Effect of termination

Upon termination:

  • your right to use the Service ends
  • unused subscription credits are forfeited except where required by law
  • access to paid features ends immediately or at the end of the paid period, as applicable
  • API keys may be disabled
  • reports, API logs, account data, and other data may become inaccessible or may be deleted after a reasonable retention period, subject to legal obligations and our Privacy Policy
  • sections that by their nature should survive will survive, including payment obligations, intellectual property, permitted-use restrictions, disclaimers, liability provisions, governing law, and dispute provisions

19. Privacy and data protection

Our handling of personal data is governed by our Privacy Policy at https://seonio.com/privacy.

You are responsible for ensuring that your submission of Inputs, API request data, cached data, integrations, and use of outputs comply with applicable data protection, confidentiality, copyright, database, and platform rules.

If you submit personal data to the Service, you represent that you have an appropriate legal basis to do so.

For business customers where we process personal data on their behalf, our Data Processing Agreement (DPA) applies and is available on request.

20. Liability

20.1 Mandatory liability — unaffected

Nothing in these Terms excludes or limits liability for:

  • intent (Vorsatz)
  • gross negligence (grobe Fahrlässigkeit)
  • injury to life, body, or health
  • fraudulent concealment of a defect
  • an expressly assumed guarantee (Garantie)
  • claims under the German Product Liability Act (Produkthaftungsgesetz)
  • any liability that cannot be excluded or limited under applicable law

20.2 Slight negligence

In cases of slight negligence (einfache Fahrlässigkeit), we are liable only for breach of an essential contractual obligation (Kardinalpflicht) — meaning an obligation whose fulfillment is essential to the proper performance of the contract and on which you may regularly rely. In that case, liability is limited to the foreseeable damage typical for the contract.

20.3 Liability cap for business users

If you are using the Service in the course of a business, our liability for slight negligence under Section 20.2 is additionally limited to the fees paid by you in the 12 months preceding the event giving rise to the claim.

20.4 Third-party dependencies and SEO outputs

Subject to Section 20.1, we are not liable for losses caused solely by third-party source changes, third-party blocks, external platform outages, source data inaccuracies, API changes, rate limits, or your reliance on estimated SEO data, API responses, or outputs without appropriate verification.

21. Changes to these Terms

We may update these Terms for legal, regulatory, technical, security, operational, product, API, pricing, or commercial reasons.

If we make material changes, we will provide notice by posting the updated Terms on the website, in the Service, or by email where appropriate.

Unless mandatory law requires a different approach:

  • changes apply from the stated effective date
  • continued use of the Service after that date constitutes acceptance of the updated Terms
  • if you do not agree, you must stop using the Service and cancel your subscription before the updated Terms take effect

For material changes that negatively affect a paid subscription, we will aim to give reasonable prior notice, usually at least 30 days where practicable. API-related changes may require shorter notice where necessary for security, third-party dependency, abuse prevention, legal compliance, or operational continuity.

22. Consumer dispute resolution

We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) pursuant to § 36 VSBG.

We encourage you to contact us directly at [email protected] first and will try to resolve complaints directly.

23. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and excluding the UN Convention on Contracts for the International Sale of Goods (CISG), to the extent applicable.

If you are a consumer residing in the EU or EEA, this choice of law does not deprive you of mandatory consumer protection rights granted by the law of your country of residence.

If you are a merchant, legal entity under public law, or special fund under public law, the exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms is Ulm, Germany, to the extent permitted by law.

For consumers, statutory jurisdiction rules remain unaffected.

24. Miscellaneous

24.1 Entire agreement

These Terms, together with the Privacy Policy, DPA where applicable, and any policies expressly incorporated by reference, constitute the entire agreement between you and us regarding the Service.

24.2 Severability

If any provision of these Terms is invalid or unenforceable, the remaining provisions remain unaffected.

24.3 No waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

24.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of assets, provided this does not reduce your mandatory legal rights.

24.5 Force majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, government action, internet or infrastructure outages, third-party service failures, data-provider failures, payment processor failures, or source-site blocking.

24.6 Language

These Terms are written in English. In the event of any conflict between the English version and a translated version, the English version prevails to the extent permitted by applicable law.
